IMPORTANT DRAFTING NOTICE
This draft is prepared for Soul Era LLC and should be reviewed by a licensed attorney before publication. Replace every bracketed field and align the refund, shipping, privacy, and submission language with Soul Era's actual practices.
These Terms of Service ("Terms") are a binding agreement between you and Soul Era LLC ("Soul Era," "we," "us," or "our"). They govern your access to and use of soulerarecords.com, any other website or digital property that links to these Terms, and related content, newsletters, artist-submission programs, ticketing, events, merchandise, promotions, and services (collectively, the "Services").
1. Acceptance of These Terms
By accessing or using the Services, clicking to accept these Terms, making a purchase, submitting content, or registering for an event, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
If you use the Services for a company, artist, collective, or other organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.
2. Eligibility
The Services are not directed to children under 13. You must be at least 13 to use the Services. If you are under the age of legal majority where you live, you may use the Services only with permission and supervision from a parent or legal guardian.
You must be at least 18, or have a parent or legal guardian act on your behalf, to purchase merchandise or tickets, enter into paid arrangements, grant rights in submitted content, or otherwise form a contract with Soul Era. Certain events may be restricted to guests who are 18 or 21 and older; the applicable event listing controls.
3. Changes to the Terms or Services
We may update these Terms from time to time. The updated Terms will state a new "Last updated" date. Where required by law, we will provide additional notice. Your continued use of the Services after the revised Terms take effect means that you accept them.
We may modify, suspend, or discontinue any part of the Services. We are not liable for changes to or unavailability of the Services, except where applicable law requires otherwise.
4. Accounts, Registration, and Information You Provide
Some features may require registration or information such as your name, email address, artist name, age, billing details, or event credentials. You agree to provide accurate, current, and complete information and to update it when necessary.
You are responsible for safeguarding any account credentials and for activity under your account. Notify us promptly at info@soulerarecords.com if you believe your account or information has been used without authorization.
5. Soul Era Content and Editorial Independence
The Services may include articles, interviews, reviews, playlists, videos, photographs, graphics, event coverage, recommendations, and other editorial or promotional content. Except for content owned by third parties, Soul Era and its licensors own this material and all associated intellectual-property rights.
You may access Soul Era content for personal, noncommercial use. You may not reproduce, republish, sell, scrape, frame, distribute, modify, create derivative works from, or commercially exploit it without prior written permission, except as permitted by law.
Editorial coverage, playlist placement, event selection, interviews, reposts, and other features remain within Soul Era's discretion unless a separate written agreement expressly states otherwise. A submission, payment for a separately identified service, prior relationship, or event participation does not guarantee coverage, placement, feedback, attendance, or any particular outcome.
6. Artist and Music Submissions
When you submit music, artwork, photographs, videos, biographies, press materials, links, or other materials ("Submission Materials"), you retain your ownership. You grant Soul Era a nonexclusive, worldwide, royalty-free license to access, review, reproduce, format, excerpt, display, perform, distribute, and otherwise use the Submission Materials solely to evaluate the submission and, if selected, to feature, promote, publicize, archive, and report on the artist, release, event, or Soul Era program across the Services and Soul Era's social, email, streaming, and promotional channels.
This license continues for materials already incorporated into published or archived coverage, unless removal is required by law or Soul Era agrees otherwise in writing. You may request prospective removal by contacting info@soulerarecords.com, but removal may not be possible from printed materials, third-party reposts, archival coverage, or content already distributed.
You represent and warrant that you have all rights and permissions needed to submit the Submission Materials and grant this license, including permissions relating to music, compositions, masters, samples, artwork, photographs, likenesses, performances, trademarks, and the contributions of collaborators. You must disclose any restrictions that could affect Soul Era's proposed use.
Unless a separate written agreement states otherwise, submissions are voluntary, nonconfidential, and unpaid; Soul Era has no obligation to review, respond to, return, preserve, publish, or use them. Do not send unreleased or confidential material unless Soul Era has expressly agreed in writing to receive it on that basis.
7. User Content and Community Features
If the Services allow you to post comments, reviews, photos, messages, or other content ("User Content"), you retain ownership of it. You grant Soul Era a nonexclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, format, and distribute that User Content as needed to operate, promote, and improve the Services.
You are responsible for your User Content. It must not infringe another person's rights; be unlawful, fraudulent, defamatory, threatening, harassing, hateful, obscene, or exploitative; contain malware or unauthorized advertising; impersonate another person; or expose private or sensitive information without authorization.
We may review, refuse, remove, restrict, or preserve User Content, but we are not obligated to monitor it.
8. Events, Tickets, and Admission
Event details, including date, time, venue, lineup, age restrictions, accessibility information, and entry requirements, appear on the applicable event page or ticketing platform. Events, performers, schedules, venues, programming, and capacity may change. Where permitted by law, Soul Era may make reasonable substitutions or changes.
Tickets and registrations are subject to availability, purchase limits, posted fees, and any additional terms shown at checkout or imposed by the venue or ticketing provider. You may not use bots or other automated methods to acquire tickets, circumvent limits, or resell tickets unlawfully.
Refunds, exchanges, transfers, postponements, and cancellations are governed by the policy disclosed for the applicable event and by applicable law. Unless that policy states otherwise, all sales are final except when an event is canceled and not rescheduled. If an event is rescheduled, the original ticket ordinarily remains valid for the new date.
Admission may be denied or revoked, without refund where permitted by law, for unsafe, disruptive, abusive, discriminatory, intoxicated, unlawful, or policy-violating conduct. Guests must follow venue rules, security procedures, health and safety requirements, and lawful staff instructions.
Events may be photographed, filmed, or recorded. Where legally permitted, by entering an area with conspicuous recording notice, you authorize Soul Era and its partners to capture and use your appearance, voice, and likeness in event documentation and promotional materials without additional compensation. For focused interviews, testimonials, or featured content, Soul Era should obtain a separate release when appropriate.
Attendance involves ordinary event risks, including crowds, loud sound, lighting effects, travel, weather, and interaction with other guests. You are responsible for deciding whether attendance is appropriate for you. Nothing in these Terms waives liability that cannot lawfully be waived.
9. Merchandise, Orders, Shipping, and Returns
Product descriptions, colors, measurements, images, prices, and availability are provided in good faith but may contain minor variations or errors. We may correct errors, limit quantities, reject or cancel orders, or discontinue products. If we cancel an order after charging you, we will refund the affected amount.
Prices do not include taxes, shipping, customs duties, or similar charges unless stated. You authorize Soul Era and its payment processors to charge the payment method you provide for the total shown at checkout.
Estimated shipping and delivery dates are not guarantees. Risk of loss and title pass as provided by applicable law and the carrier terms. International customers are responsible for import charges and restrictions unless stated otherwise.
Returns, exchanges, damaged items, and lost shipments are governed by Soul Era's posted Return and Shipping Policies.
10. Payments, Promotions, and Recurring Charges
Payments may be processed by third parties. Their terms and privacy practices also apply. Soul Era does not receive or store full payment-card credentials when the processor handles them directly.
Discounts, giveaways, contests, presales, and promotions may have separate rules. If those rules conflict with these Terms, the promotion-specific rules control for that promotion.
Soul Era will not enroll you in recurring paid charges unless the price, frequency, renewal terms, cancellation method, and other material terms are clearly disclosed and you affirmatively consent. If Soul Era later offers a subscription, the checkout terms and cancellation process must comply with applicable law and will supplement these Terms.
11. Intellectual Property and Brand Use
Soul Era's names, logos, trade dress, graphics, event names, original media, and related brand elements are owned by Soul Era or used with permission. No license to use them is granted except the limited right to access the Services under these Terms.
You may link to public pages in a lawful and nonmisleading way, but you may not imply sponsorship, endorsement, affiliation, or approval without written permission.
12. Third-Party Services and Links
The Services may link to or embed Spotify, Apple Music, YouTube, social platforms, ticketing services, payment processors, venues, vendors, sponsors, and other third parties. Those services are controlled by their operators and governed by their own terms and privacy policies. Soul Era is not responsible for third-party content, availability, security, transactions, or practices.
Links, embeds, playlist inclusions, or references do not necessarily mean that Soul Era endorses a third party or that the third party endorses Soul Era.
13. Prohibited Conduct
You may not use the Services to violate law or another person's rights; interfere with security or operation; introduce malicious code; probe or access nonpublic systems; harvest personal data; send spam; impersonate others; manipulate engagement or ticket availability; evade access controls; use automated extraction without permission; or assist another person in doing any of these things.
You may not use Soul Era content, Submission Materials belonging to others, or data obtained through the Services to train or improve a machine-learning or artificial-intelligence model without Soul Era's prior written permission and any permissions required from the applicable rights holders.
14. Privacy and Communications
Our collection and use of personal information are described in our Privacy Policy at https://www.soulerarecords.com/privacy-policy. These Terms do not replace that policy.
If you opt in to marketing emails or text messages, you may withdraw consent using the unsubscribe instructions or other method provided. Consent to marketing is not a condition of purchase. Transactional messages relating to orders, submissions, tickets, safety, or account activity may still be sent where permitted by law. Message and data rates may apply to text messages.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, PRODUCTS, EVENTS, SUBMISSIONS PROCESSES, AND INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE." SOUL ERA DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
SOUL ERA DOES NOT GUARANTEE MEDIA COVERAGE, PLAYLIST PLACEMENT, AUDIENCE REACH, CAREER RESULTS, SALES, ATTENDANCE, INDUSTRY ACCESS, OR ANY OTHER OUTCOME. MUSIC, CULTURAL, CAREER, AND BUSINESS CONTENT IS FOR GENERAL INFORMATION AND IS NOT PROFESSIONAL ADVICE.
Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUL ERA AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, PARTNERS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITIES; OR DAMAGES ARISING FROM THIRD-PARTY SERVICES, EVENT CHANGES, UNAUTHORIZED ACCESS, OR RELIANCE ON THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUL ERA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO SOUL ERA FOR THE PRODUCT, TICKET, OR SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT CREATING LIABILITY, OR (B) US $100.
These limitations do not apply to liability that cannot lawfully be limited, and they apply only to the extent permitted by applicable law.
17. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Soul Era and its members, officers, employees, contractors, partners, licensors, and agents from third-party claims, losses, liabilities, damages, judgments, and reasonable costs (including attorneys' fees) arising from your User Content or Submission Materials, your breach of these Terms, your violation of law or another person's rights, or your misuse of the Services. Soul Era may control the defense of a covered claim, and you agree to cooperate. This section does not require you to indemnify a party for that party's own unlawful conduct where prohibited by law.
18. Suspension and Termination
We may restrict, suspend, or terminate access to the Services if we reasonably believe you violated these Terms, created risk or legal exposure, or used the Services in a harmful or fraudulent way. Where practicable, we may provide notice and an opportunity to address the issue.
You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including ownership, licenses for previously published or archived material, payment obligations, disclaimers, limitations of liability, indemnification, and dispute provisions.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Subject to any consumer-protection rights that cannot be waived, any legal action arising from these Terms or the Services must be brought in the state or federal courts located in Palm Beach County, Florida, and each party consents to personal jurisdiction and venue there.
Before filing a claim, you and Soul Era agree to make a good-faith effort to resolve the dispute by written notice describing the issue and requested resolution. Send notices to info@soulerarecords.com. This informal process does not extend any legal deadline unless the parties agree in writing.
Nothing in this section prevents either party from seeking appropriate emergency or injunctive relief.
20. General Terms
These Terms, the Privacy Policy, transaction-specific disclosures, event rules, promotion rules, and any separate written agreement that expressly applies constitute the entire agreement for the relevant Services. If a separate written agreement signed by Soul Era conflicts with these Terms, that agreement controls to the extent of the conflict.
If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue. Soul Era's failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; Soul Era may assign them in connection with a merger, reorganization, sale of assets, or by operation of law.
Headings are for convenience only. "Including" means "including without limitation." Electronic acceptance and records may have the same legal effect as paper documents and signatures where permitted by law.
